1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of ProposalPro ("the Service"), operated by ProposalPro ("we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ProposalPro is a cloud-based software-as-a-service platform designed for insurance agents and agencies. The Service enables users to create, manage, and share insurance proposals with their clients, track proposal status, manage customer information, and analyze business performance through dashboards and reports. The Service is provided on a subscription basis with various plans, including a free trial period.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.

4. Free Trial

We offer a 14-day free trial for new users. During the trial period, you will have access to the full features of the Service. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify the duration or availability of free trials at any time. No credit card is required to start a free trial.

5. Subscription and Payment

Plans: The Service is offered under different subscription plans, including Individual and Agency plans. The features, pricing, and terms of each plan are described on our pricing page and may be updated from time to time.

Billing: Paid subscriptions are billed annually unless otherwise specified. Payment is due at the beginning of each billing period. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

Price changes: We may change our subscription fees at any time. We will provide at least 30 days' notice of any fee increase before your next billing period. Your continued use of the Service after the price change takes effect constitutes your agreement to the new pricing.

Cancellation: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period, and you will retain access to the Service until that time.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service in any way that violates any applicable federal, state, local, or international law or regulation. Use the Service to transmit or store any content that is fraudulent, misleading, defamatory, or otherwise objectionable. Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks. Interfere with or disrupt the integrity or performance of the Service. Use the Service to collect or harvest personal information of others without their consent. Reverse engineer, decompile, or disassemble any part of the Service. Use automated scripts, bots, or other tools to access the Service without our prior written consent. Resell, sublicense, or redistribute the Service without our authorization.

7. Your Data

Ownership: You retain all ownership rights to the data you upload, enter, or create using the Service ("Your Data"), including client information, proposal content, and notes. We do not claim any ownership over Your Data.

License: You grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing and improving the Service. This license terminates when you delete Your Data or close your account.

Responsibility: You are solely responsible for the accuracy, quality, and legality of Your Data and for obtaining any necessary consents from your clients before entering their personal information into the Service.

Data export: You may export Your Data at any time through the available features in the Service, such as PDF downloads and proposal sharing.

8. Intellectual Property

The Service, including its design, features, content, logos, and underlying technology, is owned by ProposalPro and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements without our prior written consent. All rights not expressly granted in these Terms are reserved.

9. Availability and Support

We strive to maintain the availability of the Service at all times but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance, during which the Service may be temporarily unavailable. We will make reasonable efforts to notify you in advance of planned downtime. 10. Limitation of Liability

To the fullest extent permitted by applicable law, ProposalPro and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your specific requirements, that it will be available without interruption, or that it will be free of errors or defects. ProposalPro is a proposal management tool and does not provide insurance advice, legal counsel, or financial guidance.

12. Indemnification

You agree to indemnify, defend, and hold harmless ProposalPro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Service, your violation of these Terms, your violation of any third-party rights, or the content of Your Data.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a violation of these Terms. Upon termination, your right to use the Service will cease immediately. You may request a copy of Your Data within 30 days of termination by contacting us. After 30 days, we may delete Your Data in accordance with our data retention practices.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date above. If we make changes that materially affect your rights, we will also notify you via email or through the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

16. General Provisions

Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ProposalPro regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
